Policy on the Use of Customer Marks

Article 1 (Definitions)

In this Policy, "Customer Marks" shall mean the Customer's trade name, trademarks, logos, service names, and any other indications by which the Customer may be identified.

Article 2 (License Grant)

The Customer hereby grants to Dress Code Inc. (hereinafter, the Company) and any third party designated by the Company (such as sales agents) a royalty-free, non-exclusive license to use the Customer Marks in the following media for the purpose of introducing case studies of the Company's services and for the Company's sales, public relations, and marketing activities:

  1. The Company's website
  2. Sales and proposal materials
  3. Seminar and event materials
  4. Advertising and promotional materials
  5. Press releases
  6. Other media comparable to the foregoing

Article 3 (Terms of Use)

In using the Customer Marks, the Company shall comply with the following:

  1. If the Customer has separately provided brand guidelines, logo usage terms, or similar conditions, the Company shall comply with them.
  2. The Company shall not modify the Customer Marks (provided, however, that this shall not apply to resizing, layout adjustments, or other modifications within a reasonable scope for display purposes).
  3. The Company shall not display the Customer Marks in any manner that may create a false impression that a partnership, investment, sponsorship, or any other special relationship exists between the Company and the Customer.

Article 4 (Suspension of Use)

  1. If the Customer has reasonable grounds with respect to the use of the Customer Marks, the Customer may, by written or email notice to the Company, request the Company to suspend all or part of such use on a prospective basis.
  2. Upon receipt of the notice set forth in the preceding Article, the Company shall suspend or modify the use of the relevant Customer Marks within a reasonable period.
  3. Notwithstanding the foregoing, this shall not apply to printed materials that have already been distributed or to other media for which immediate action is technically difficult.

Article 5 (Ownership of Rights)

All rights pertaining to the Customer Marks shall belong to the Customer, and the license granted under this Policy shall not be construed as an assignment or transfer of any such rights.
